In a convertible debt investment deal (also referred to as a convertible note), the investor makes a loan to the company (the debt), and that loan converts into equity at some point in the future, with an extra bonus to the investor for taking on higher risk of the early-stage startup.
When founders issue a convertible note, all parties typically assume that the startup will be raising additional funding rounds from experienced angel or VC investors.
